The Company hereby confirms that, according to the press release issued by the Taipei District Prosecutors Office on December 26, 2025, the investigation into the relevant case has been concluded , and it has been determined that the case is unrelated to HD Renewable Energy Co., Ltd. and its General Manager, Mr. Shih-Chang Chou, and that a decision of non-prosecution disposition has been issued.

The project is based on a grid-scale BESS in Sapporo, Hokkaido, and is financed under a project finance structure. In its rating assessment, R&I assessed the project’s sound structural design, operational planning, and cash flow stability, reflecting HDRE Group’s practical experience and execution capabilities in the energy storage and power markets.

The preliminary rating also indicates that, within Japan’s electricity market framework and financial structure, the project demonstrates investment conditions that are acceptable within Japan’s capital market framework, contributing to the establishment of practical investment precedents for grid-scale energy storage assets in Japan’s green finance and project finance markets.

泓德能源今年在日本與澳洲兩大市場皆取得具體成果，海外布局開始進入密集落地階段。日本北海道Helios 50MW儲能案場已正式上線運轉，預計於2026年貢獻20億日圓電力交易營收；位於南澳的Templers大型儲能案場（111MW/330MWh）亦於上週開始商轉，現已簽署為期20年的儲能代運營協議（tolling agreement），並依長期購電合約（AGERA）供電給南澳政府，形成具可預期性的長期收益結構，成為ZEBRE資產平台首個落地實績。

泓德集團在澳洲的儲能與太陽能項目正穩步推進，由開發逐步轉為建置與運營，整體規模預計至2028年累計開發達2.7GW。ZEBRE平台旗下南澳大型光儲混合案場Solar River（儲能256MW、光電232MW）繼取得開發與併網許可，近期更獲得澳洲聯邦政府核准通過環評審查，預計將於2026年分階段開工。此外，ZEBRE亦已取得新南威爾斯州、維多利亞州與昆士蘭州等澳洲東岸綠地項目權利，目前正進入許可申請階段，預計將於2026年至2027年達到可開工狀態。多項目同步推進，將持續擴大泓德能源在澳洲的再生能源資產規模與市場影響力。

Following commissioning, Helios started day-ahead and intraday trading on JEPX (Japan Electric Power Exchange), completing 48 transactions per day. Leveraging the Star Trade power trading platform, the team carries out price forecasting, formulates bidding strategies, and plans charge–discharge schedules to optimize revenue.

Helios will enter the balancing market via EPRX (Electric Power Reserve Exchange) in the second quarter of 2026, providing grid-balancing and reserve services while enhancing overall project returns. Given EPRX’s strict requirements for response time, duration, and availability, Star Trade will continue refining its decision models through its proprietary platform.

Looking further ahead, the project aims to enter Japan’s capacity market by 2028, securing stable, revenue streams and establishing a comprehensive commercial model for energy storage that strengthens both profitability and cash flow resilience.

HDRE Group holds a 90% controlling stake in Helios. HDRE Japan oversees asset management, while Star Trade serves as the project owner and trading decision-maker, showcasing the Group’s integrated cross-border capabilities. HDRE Group expects to reach 191 MW of construction volume in Japan by 2026, with cumulative operational storage capacity exceeding 1 GW by 2028. All projects will be operated and traded by Star Trade, strengthening HDRE’s presence in Japan’s storage market and supporting renewable integration and grid stability.

Regarding the onsite review and information request conducted by the prosecutorial and investigative authorities on November 20, 2025, HDRE is fully cooperating with the authorities in carrying out the relevant investigative procedures. HDRE affirms that its operations remain normal, with no material impact on its financials or business activities.

For the first three quarters of 2025, HDRE reported consolidated revenue of NT$5.406 billion, gross profit of NT$1.226 billion, and net profit attributable to the parent company of NT$219 million.

As the global energy landscape continues to evolve rapidly, HDRE announced that 2026 will mark the beginning of its accelerated international expansion, driven by four strategic pillars focused on scaling storage and power trading businesses. HDRE will continue strengthening its position across the energy value chain and expanding its smart energy ecosystem.

Overseas project commencements are expected to exceed 200 MW in 2026, contributing to nearly 600 MW globally, with the benefits of its cross-border expansion expected to begin emerging next year. Meanwhile, HDRE plans to increase its total storage capacity to 6.41 GW by 2028, including 3.26 GW in Japan and 2.38 GW in Australia, forming a solid foundation for HDRE’s expansion across global power markets.

本次合作中，與和潤電能股份有限公司合作容量為8MW，預計將自2025年第四季起轉供至台灣電子與金融產業等大型用電企業；以油化槽專業儲運起家的匯僑股份有限公司則提供12MW容量，預計2026年起由星星電力全數轉供，展現跨產業綠電合作的實務成果。星星電力預計至2027年外購合約總容量將達950MW，配合集團自持資源，將涵蓋多元太陽能與風力發電資源，持續打造兼具彈性與韌性的再生能源整合服務平台。

此外，星星電力整合泓德集團未來三年的全台最大規模儲能開發資源，總量超過700MW，掌握將近500MW備用容量資源，強化備供量能。呼應制度推動方向，星星電力將以儲能優勢提供備用容量服務，協助發電及售電業者履行義務，同時為綠電轉供服務加值。透過跨產業策略性合作，星星電力持續發揮在轉供服務、需求預測與客戶媒合上的整合優勢，加速綠電資產活化與電力市場有效流通。

今年7月，丹娜絲颱風夾帶強風豪雨侵襲台灣西南部，造成多地交通癱瘓與物資短缺。泓德能源第一時間啟動應變機制，委派團隊南下支援，直接赴賣場採購災區急需物資，並調度推土機與大貨車協助清運路面與社區廢棄物，同步緊急訂製防水帆布，支援現場遮蔽作業。從救災物資到工程支援，展現企業公民行動力，與地方攜手共度難關。

風災過後，泓德能源將關懷行動延伸至校園與下一代的永續教育。日前正式攜手綠色冀泉與國立雲林科技大學，成為全台首家響應「綠色碳公益模組計畫」的企業，預計於雲嘉南高屏20所學校進行原生樹補植與能源教育推廣，首場行動已於雲林義賢國小啟動。該計畫針對今年多起風災導致的校園倒伏樹木進行系統性復植，並結合碳匯與生物多樣性教學，讓師生從種樹實作中理解能源轉型與氣候行動，打造可量化、可追蹤的永續校園行動。
